Sports Club Rules

Rules of the Sports Club Activity of Fundacja Organic Flow, with its Registered Office in Warsaw
General Provisions
§1
- The sports club was established within the Fundacja “Organic Flow” (hereinafter: the Foundation) with its registered office in Warsaw, and is hereinafter referred to as the “Sports Club” or the “Club”.
- The Club is a voluntary, self-governing, permanent association that may conduct paid statutory activity.
- The Club may, in its own name, acquire rights, including ownership and other rights in rem, incur liabilities, sue, and be sued.
- The Club is a sports club within the meaning of the Sport Act.
§2
The Club’s activity is based on the provisions of the Act of 25 June 2010 on Sport (Dz.U.2022.0.1599, consolidated text), the Statute of Fundacja Organic Flow, and the provisions of these Rules.
§3
The Club’s territory of activity is the area of the Republic of Poland, provided that, to the extent necessary for the proper realization of its objectives, it may also conduct activity outside the borders of the Republic of Poland.
§4
The registered office of the sports Club is Warsaw.
Objectives and Means of Action
§5
The objective of the sports Club’s activity is:
- Cultivating passion and social-cultural animation among children, young people, and adults,
- Supporting, developing, promoting, and disseminating dance and physical culture among children and young people,
- Cultivating passion for sport among children, young people, and adults,
- Undertaking activities that will inspire young people to nurture their passions,
- Promoting active leisure,
- Organizing, developing, and popularizing various forms of dance, culture and art, and other activities,
- Promoting and disseminating physical activity through dance and sports classes for adults,
- Assisting families of children and young people in difficult life situations, and helping to equalize opportunities for such families,
- Undertaking actions to promote movement, ecology, and education,
- Organizing and developing activities leading to the maintenance and improvement of the physical fitness of society: adults, young people, and children,
- Promoting a healthy lifestyle among children, young people, and adults,
- Developing an affinity for the systematic practice of various forms of activity and sport in various environments,
- Organizing sporting competitions,
- Protecting and promoting health,
- Stimulating and encouraging the creative passion of children, young people, and adults,
- Equalizing opportunities for children and young people in access to education and culture,
- Assisting young people in overcoming difficult life situations and barriers to the development of their talent,
- Stimulating and encouraging social and cultural activity, in particular among children and young people,
- Supporting the development of talented young athletes,
- Supporting the development of talented young artists, in the areas of sport, recreation, dance, ecology, and art,
- Establishing cooperation with communities and organizations with similar objectives,
- Initiatives related to ecology and a healthy lifestyle,
- Promoting attitudes of responsibility towards nature, animals, and the environment,
- Supporting and organizing leisure for children, young people, and adults,
- Supporting the idea of volunteering, and promoting and organizing volunteering,
- Assisting elderly people and seniors with health problems,
- Training in the field of health prevention for elderly people and seniors,
- Conducting classes in the field of calming activities and other forms of activity and health recovery for persons prone to metabolic difficulties or obesity and those with circulatory problems,
- Activity for the benefit of children and young people, including therapies supporting their social, emotional, physical, mental, and intellectual development,
- Popularizing knowledge in the field of raising children and young people, and developing the parenting skills of parents and persons working with children and young people,
- Activities related to movement rehabilitation and physiotherapy through sport,
- Supporting persons in combating addictions, assisting them in returning to psychophysical fitness after difficult experiences, and physically and mentally strengthening children, young people, and adults after difficult experiences,
- Building social and interpersonal bonds and mutual trust between persons and social groups through dance,
- Promoting a healthy lifestyle in order to prevent lifestyle diseases such as obesity, diabetes, and depression, through programs implementing regularity in the practice of physical activity, including dance,
- Disseminating a lifestyle that prevents isolation and conditions resulting in mood decline, including depression, anxiety states, and others, through active participation in programs based on dance and personal development.
§6
The sports Club pursues its objectives through:
- Organizing sports, dance, cultural, artistic, and creative classes for children, young people, and adults,
- Organizing workshops, tournaments, and camps for children and young people as well as adults,
- Organizing leisure activities, including: camps, colonies, sports camps, and holiday camps for children and young people as well as adults,
- Organizing social campaigns, symposia, seminars, lectures, workshop meetings, courses, conferences, and other training events related to the topic of social-cultural animation and physical activity,
- Caring for and supporting exceptionally talented young athletes, in particular by awarding scholarships and prizes,
- Caring for and supporting talented young artists, in particular by awarding scholarships and prizes,
- Organizing informational and publishing activities within the scope of the Foundation’s objectives,
- Promoting the development of passion, sports activity, and a healthy lifestyle in primary and post-primary schools,
- Conducting social campaigns promoting a life lived with passion,
- Conducting classes developing the talents of children, young people, and adults in schools, community centers, cultural centers, care and educational centers, educational centers, social assistance centers, holiday camps, sports camps, colonies, and others,
- Cooperating in the implementation of the state program for the dissemination of physical culture and health prevention,
- Operating a sports club,
- Carrying out commissioned tasks in the field of sport and the dissemination of culture and physical culture,
- Organizing competitions and mass sports-recreational events,
- Promoting the practice of various forms of activity, as well as disseminating and applying other forms of active leisure,
- Developing, within the Foundation, plans and directions for the training and further training of coaches, instructors, judges/referees, competitors, community activists, and full-time staff, and verifying training methods in cooperation with institutions and universities dealing with the issues of various forms of activity, sport, and other activities, and supporting the development of talented young artists in the fields of sport and recreation,
- Conducting publishing, educational, training, and popularizing activity, and initiating and supporting scientific and research work in the field of dance. The statutory activity is non-profit,
- Granting licenses to athletes operating within the Foundation,
- Organizing concerts, cultural events, showcases, festivals, and competitions with the participation of domestic and foreign performers,
- Cooperating with local government and state authorities,
- Cooperating with domestic and foreign organizations operating within the scope of the Foundation’s objectives, and cooperating with other institutions or natural persons showing interest in the Foundation’s activity,
- Participating in cultural and sports events within the country and abroad,
- Implementing international projects, workshops, and youth exchanges,
- Organizing and raising domestic and foreign funds for the purchase of equipment needed for the functioning of educational, upbringing, and community centers,
- Organizing and creating artistic performances,
- Organizing monetary and material collections,
- Organizing or co-organizing, and raising domestic and foreign funds for the realization of various forms of summer and winter leisure for children, young people, and adults,
- Promoting unconventional interests and young artists,
- Organizing and raising domestic and foreign funds for scholarship assistance for talented children and young people, including awarding prizes and scholarships supporting the activity of legal persons and other entities without legal personality conducting activity consistent with the Foundation’s objectives,
- Activity for the benefit of European integration and the development of contacts and cooperation between societies,
- Promotional and advertising activities,
- Assisting elderly people and seniors with health problems,
- Training in the field of cultural, sports, and ecological activities for elderly people and seniors,
- Conducting classes in the field of calming activities and other forms of activity and health recovery for persons prone to metabolic difficulties or obesity and those with circulatory problems,
- Creating dance choreographies.
Membership
§7
- Any natural person with full legal capacity and not deprived of public rights, who submits a written or electronic declaration of joining the Club and accepting its Rules, and is admitted by the Foundation’s Management Board, may become a member of the sports Club.
- In the event of refusal of admission to the Club, the candidate for membership has the right to appeal to the Foundation’s Management Board within 14 days of the delivery of the decision refusing admission to the Club.
- Loss of membership occurs in the event of:
- death of the member,
- written resignation submitted to the Foundation’s Management Board,
- loss of full legal capacity,
- loss of public rights,
- expulsion of the member from the Club due to:
- failure to pay membership fees for a period of 12 months,
- failure to comply with resolutions of the Club’s authorities and the provisions of these Rules.
- The decision to expel a member from the Club is made by the Foundation’s Management Board.
§8
Members have the right to:
- use all forms of the Club’s activity;
- participate in events and functions organized by the Club;
- participate in all undertakings carried out within the framework of the Club’s statutory tasks that are addressed to them;
- participate in competitions and sports and recreational events organized by the Club;
- purchase Club products, in particular: Club merchandise and Club clothing.
§9
Members are obliged to:
- take part in the Club’s activity and the realization of its objectives;
- care for the good and development of the Club;
- take care of the Club’s equipment and facilities;
- comply with the statute and resolutions of the Club’s authorities;
- pay fees regularly.
Bodies of the Club
§10
- The body of the Club is: the Foundation’s Management Board, hereinafter referred to as the “Management Board”.
- Members of the Management Board may receive remuneration for performing their functions.
§11
- The Management Board consists of at least one person.
- If the Management Board consists of multiple persons, it consists of the President of the Management Board and Members of the Management Board.
- Members of the Management Board are appointed and dismissed by the Founder.
- Membership in the Foundation’s Management Board ends in the event of dismissal, resignation from membership, or death of a Management Board member.
- The term of office of the Management Board is five years.
- The function of President of the Management Board or Member of the Management Board may be held for more than one term.
- In the event of changes to the composition of the Management Board during a term of office, the period of holding office of newly appointed members ends upon the expiry of the term of office of the entire Management Board.
- The function of President or Member of the Management Board may also be held by the Founder of the Foundation.
- The Founder of the Foundation is part of the first Management Board and assumes the function of President of the Management Board.
§12
- The Management Board directs the Club’s activity and represents it externally.
- The tasks of the Management Board include, in particular:
- directing the organizational activities of the Club entrusted to individual Management Board members,
- adopting annual financial plans,
- adopting rules and regulations,
- exercising management of the Club’s assets,
- preparing reports on the Club’s activity,
- accepting donations, bequests, and subsidies,
- making decisions in all matters not assigned to the competence of the Council,
- representing the Club.
- The Management Board makes decisions at meetings in the form of resolutions adopted by a simple majority of votes in the presence of at least the President of the Management Board. In the event of a tie, the President of the Management Board’s vote is decisive.
- Resolutions of the Management Board may be adopted at its meetings or in the form of written voting, provided that all Management Board members agree to this form of voting.
- The Management Board may appoint proxies to manage a separate area of matters within the Club’s tasks.
§13
Members of the Management Board may be employed by the Club under an employment relationship.
§14
Remuneration of Management Board Members and Foundation employees is paid from generated funds, without infringing on the financial resources provided by the Foundation’s Founder.
Method of Representation
§15
- Declarations of intent on behalf of the Foundation in all matters, including property matters, may be made by each Management Board member independently.
- The Management Board is authorized to amend the rules by way of a resolution.
The Club’s Financial Resources
§16
The Club’s income may derive, in particular, from:
- donations, bequests, and legacies;
- grants and subsidies;
- income from collections and public events;
- income from the Club’s assets;
- income from assets, real estate, and property rights, in particular securities and other financial instruments available on the capital market;
- interest and bank deposits;
- the Club’s paid statutory activity;
- income from participation in the profits of legal persons;
- membership fees.
§17
- Income from grants, donations, bequests, and legacies may be used for the realization of all of the Club’s objectives, unless the donors have decided otherwise.
- The Club may accumulate its funds in Polish currency and foreign currencies in appropriate banks in accordance with the provisions of Polish foreign exchange law.
§18
The Club’s financial resources are managed by the Foundation’s Management Board, in accordance with applicable law, these Rules, and the resolutions of the Foundation’s Management Board.
Final Provisions
§19
- The sports Club is dissolved on the basis of a resolution of the Foundation’s Management Board.
- When adopting a resolution to dissolve the Club, the Foundation’s Management Board selects a Liquidator and determines the purpose to which the Club’s remaining financial resources will be applied.
§20
In matters not regulated by these Rules, the provisions of the Sports Law Act apply.
